/01Contract & Eligibility
By clicking "Join," "Sign Up," "Register," or by otherwise accessing or using encod.ai services, you enter into a legally binding agreement with Encod AI, Inc. ("encod.ai," "we," "us"). If you use encod.ai on behalf of a company, you confirm you are authorized to bind that company to these Terms.
You must be at least 16 years old (or older if required by local law) to use the services. You agree to provide accurate information, keep it current, and maintain only one account under your real identity unless explicitly approved by us.
We may update these Terms from time to time. Material changes will be posted in the services or sent through contact information you provided. Continued use after the effective date of updated terms means you accept those updates.
/02Accounts & Responsibilities
You are responsible for activity that happens under your account unless you promptly notify us of unauthorized use. Keep your password confidential and use reasonable security practices.
You agree to comply with applicable laws and platform policies when using encod.ai. We may send required notices and service-related communications through the website, application interfaces, or your provided contact information, and you agree to keep that information accurate.

We may modify, pause, or discontinue features at any time. We may also set usage limits, including limits on connectivity, messaging, or content visibility, to protect users and maintain service quality.
/04Content & License
You keep ownership of content and information you submit to encod.ai. By posting or submitting content, you grant encod.ai a worldwide, transferable, sublicensable, and non-exclusive license to host, use, copy, process, adapt, distribute, and display that content in connection with operating and improving our services.
This license ends for specific content when you delete it, except where the content has already been shared by others or retained for legal, backup, security, or compliance purposes.
You are responsible for ensuring that content you provide is lawful and does not infringe the rights of others.
/05Rights & Restrictions
encod.ai and its licensors own all intellectual property rights in the services, platform design, trademarks, and branding. Except as expressly permitted, you may not copy, reproduce, reverse engineer, republish, resell, frame, scrape, or create derivative works from the services.
You agree not to misuse the platform, including by attempting to bypass security controls, distributing malware, automating data extraction, impersonating others, infringing intellectual property rights, or using the services in any unlawful or harmful manner.
We may investigate misuse and take action, including removing content, restricting functionality, suspending access, or terminating accounts.
/06Privacy & Data Use
Your use of encod.ai is also governed by our Privacy Policy, which explains how we collect, use, and share personal data. By using our services, you acknowledge those data practices.
We may use data you provide and data generated by service usage to improve recommendations, safety, relevance, and product performance, consistent with applicable law and our Privacy Policy.
/07Disclaimers
encod.ai services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, encod.ai disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee uninterrupted availability, error-free operation, or specific outcomes from using the services, user-generated content, or third-party integrations.
/08Limitation of Liability
To the maximum extent permitted by law, encod.ai and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, business opportunities, data, goodwill, or reputation arising from or related to these Terms or use of the services.
Unless a separate written agreement states otherwise, encod.ai's total liability for any claim under these Terms will not exceed the greater of (a) fees paid by you to encod.ai for the relevant services in the 12 months before the event giving rise to the claim, or (b) US $1,000.
/09Suspension & Termination
Either you or encod.ai may terminate this agreement at any time by discontinuing service use or closing the account, where applicable. We may suspend or terminate access immediately if we reasonably believe there is a violation of these Terms, applicable law, or risk to users, encod.ai, or third parties.
Sections that by nature should survive termination (including intellectual property, disclaimers, liability limits, governing law, and dispute terms) remain in effect after termination.
/10Governing Law
These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules. Any dispute relating to these Terms or the services will be resolved exclusively in state or federal courts located in New York County, New York, and each party consents to personal jurisdiction there.
/11General Terms & Contact
If any part of these Terms is held unenforceable, the remaining sections remain in full effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our prior written consent, while encod.ai may assign them in connection with a merger, reorganization, or sale.
